Partnerships
- Simultaneously with the execution and delivery of the SWB Business Combination Agreement, each holder of the outstanding membership interest units of SWB also entered into a Lock-Up Agreement with Pubco (collectively, the "SWB Member Lock-Up Agreements" and, together with the Contribution Investor Lock-Up Agreements and the Other SWB Lock-Up Agreements, the "Lock-Up Agreements"), which will become effective as of the Closing.
